02 — Application
Scope of These Terms
These Terms and Conditions apply to:
- Retail purchases made through our website.
- Wholesale purchases and business orders.
- Requests for quotations.
- Reseller applications and related commercial transactions.
- Use of our website and its purchasing services.
Certain transactions may be subject to additional terms agreed upon in writing.
Where separate terms apply, they supplement these Terms and Conditions and take precedence where expressly agreed and legally permitted.
Mandatory consumer protection laws remain applicable regardless of conflicting contractual provisions.
03 — Purchasing Relationships
Customer Categories
3.1 Retail Customers
Retail customers are individuals purchasing for personal use or purposes outside their trade, business, craft, or profession.
They may be entitled to statutory protections, including withdrawal rights and remedies for non-conforming goods.
3.2 Wholesale & Business Customers
Wholesale customers purchase products for genuine business purposes, including resale or commercial distribution.
Transactions may involve separate prices, minimum orders, payment terms, and reasonable business verification.
A reseller application or wholesale inquiry does not automatically establish business-buyer status.
04 — Our Collection
Products & Product Information
SAPHORIE offers curated jewelry, accessories, and related fashion products.
We aim to provide accurate descriptions, photographs, measurements, and other relevant information.
Product appearance may vary slightly due to lighting, photography, screen settings, and manufacturing variations.
Customers should review product details before purchasing.
We reserve the right to correct inaccuracies in product descriptions, availability, and pricing, subject to applicable contractual and consumer protection requirements.
Nothing in this section limits statutory rights regarding goods that do not conform to the contract.
05 — Commercial Information
Product Prices
5.1 Retail Pricing
Retail prices are displayed on our website or communicated during purchasing. Applicable taxes, delivery charges, and mandatory costs must be disclosed before the customer is bound, as required by law.
Where additional costs cannot reasonably be calculated in advance, we will disclose how they are determined where required.
5.2 Wholesale Pricing
Wholesale pricing may depend on:
- Product selection and quantities
- Product availability
- Delivery destination
- Applicable taxes and shipping costs
- Agreed commercial conditions
Wholesale prices may be provided through personalized quotations.
5.3 Minimum Wholesale Order
Our standard minimum wholesale order value is €200, unless otherwise agreed.
Requirements may vary for specific products, promotions, or negotiated transactions.
5.4 Pricing Errors
If an obvious pricing error is discovered, we may contact the customer to explain it and seek agreement on the correct price.
We will not impose a higher price on an existing order without agreement. Any cancellation or refund will follow applicable law.
06 — Order Acceptance
Orders & Contract Formation
Customers may order through WooCommerce checkout or a quotation-based purchasing arrangement.
For online purchases, customers can review their order details before submission.
An automated acknowledgment confirms receipt but does not necessarily constitute acceptance unless expressly stated.
A sales contract is formed when SAPHORIE accepts the order through confirmation or another clear acceptance communication.
For quotation-based transactions, a quotation is generally an invitation to enter into a purchasing arrangement unless identified as a binding offer. A contract forms when the relevant offer is accepted under the communicated terms.
SAPHORIE may decline orders for legitimate reasons, including unavailability, suspected fraud, or inability to fulfill, subject to law.
Payments collected for orders not accepted will be refunded as legally required.
07 — Payments
Payment Methods
Depending on the transaction, SAPHORIE supports:
- Stripe
- PayPal
- Bank transfer
- Cash payment by prior arrangement
Options may vary by customer, country, order value, and purchasing arrangement.
Stripe and PayPal transactions may be subject to the provider’s terms and security procedures.
Bank transfer instructions will be supplied through an appropriate invoice, confirmation, or authorized communication.
Customers should verify payment details before transferring funds. We will not require payment to an unrelated account without appropriate explanation and verification.
08 — Fulfillment
Order Processing & Availability
Orders are subject to availability and completion of applicable purchasing requirements.
We aim to process accepted orders within the communicated timeframe. Processing may vary by stock, order size, and fulfillment arrangements.
If an item becomes unavailable, we will contact the customer about alternatives, revised delivery, or cancellation and refund where applicable.
09 — Delivery
Shipping & Delivery
SAPHORIE serves supported destinations, including European markets.
Shipping availability, charges, and estimated periods depend on destination, order size, and fulfillment arrangements.
Applicable delivery information will be communicated before a customer is bound, as legally required. Estimates are not guarantees unless expressly agreed.
For EU consumer purchases, where no different delivery period is agreed, goods generally must be delivered without undue delay and no later than 30 days after contract conclusion, subject to applicable rules.
Delayed delivery may give customers statutory rights to request delivery within an additional appropriate period or terminate the contract under applicable circumstances.
For consumer sales, risk of loss or damage generally passes upon physical possession by the customer or their designated third party other than the carrier, subject to exceptions.
Wholesale shipping and risk allocation may be governed by separately agreed terms.
Read our Shipping & Returns Policy for further information.
10 — Consumer Protection
Consumer Right of Withdrawal
10.1 Fourteen-Day Withdrawal Period
Where EU consumer withdrawal rules apply, eligible consumers generally have 14 calendar days from receipt of the goods to withdraw from a distance contract without giving a reason.
For multiple goods delivered separately, the period generally begins upon receipt of the final item.
10.2 How to Exercise the Right
Customers must communicate an unequivocal decision to withdraw, which may be sent to info@saphorie.com.
The optional model withdrawal form appears in Section 20. Sending notice before the deadline is sufficient.
10.3 Returning Products
Following valid withdrawal, customers must return or hand over the products without undue delay, generally within 14 days of communicating withdrawal.
SAPHORIE will provide the return instructions and destination.
Customers bear direct return shipping costs only where properly disclosed before purchase and permitted by law.
10.4 Refunds
Where valid statutory withdrawal applies, SAPHORIE will reimburse legally required payments, including applicable standard outbound delivery costs.
Extra costs arising from an expressly chosen premium delivery method need not be reimbursed where legally permitted.
Reimbursement will be made without undue delay and no later than 14 days after withdrawal notice, subject to the permitted right to withhold until goods or proof of return are received.
Refunds generally use the original payment method unless otherwise expressly agreed, without unlawful fees.
10.5 Handling & Diminished Value
Customers may inspect goods to establish their nature, characteristics, and functioning.
Where permitted, customers may be responsible for diminished value from handling beyond what is necessary for that purpose.
11 — Exceptions
Withdrawal Exceptions & Hygiene-Sensitive Products
Certain products may be excluded from statutory withdrawal rights where an applicable legal exception is satisfied.
EU law may, for example, exclude sealed goods unsuitable for return for health protection or hygiene reasons when supplied sealed and subsequently unsealed after delivery.
Important: An exception does not automatically apply merely because a product is jewelry or earrings.
Hygiene-related exceptions must meet relevant legal conditions and be properly communicated before purchase.
Products made to a consumer’s specifications or clearly personalized may also qualify for exceptions.
These exceptions do not eliminate rights concerning defective or non-conforming goods.
12 — Product Issues
Defective, Damaged or Non-Conforming Products
Customers are entitled to applicable legal remedies for defective, damaged, or non-conforming products.
For consumer purchases governed by EU sales rules, the seller is responsible under the applicable statutory framework, including relevant minimum liability periods and remedies.
Depending on the circumstances, remedies may include:
- Repair
- Replacement
- Price reduction
- Termination of the contract and refund
Availability and order of remedies depend on the circumstances and applicable law.
Contact info@saphorie.com with order information and a description of the issue.
Photographs may be requested where reasonably helpful but will not unlawfully restrict statutory remedies.
13 — Business Purchases
Wholesale Orders & B2B Returns
Genuine business-to-business transactions are governed by agreed commercial terms and applicable law.
Unlike qualifying consumer distance purchases, genuine B2B transactions do not automatically benefit from the EU consumer 14-day withdrawal right.
Unless otherwise agreed, wholesale buyers have no general contractual right to return conforming goods merely because they change their mind or cannot resell them.
Incorrect items, damage, defects, or non-conformity will be reviewed under the contract and applicable law.
Specific wholesale inspection deadlines, return procedures, or remedies should be stated in the accepted quotation or wholesale agreement.
Nothing excludes rights or remedies that cannot lawfully be excluded.
14 — Wholesale Opportunities
Quotations & Reseller Applications
Submitting a reseller application or quotation request does not guarantee approval, availability, or a particular price.
SAPHORIE may assess requests based on legitimate commercial considerations, including availability, quantities, fulfillment capacity, and business information.
Quotations may include:
- Product descriptions and quantities
- Unit prices and minimum order values
- Applicable taxes and shipping charges
- Payment requirements
- Estimated delivery periods
- Quotation validity
Binding conditions are established through the accepted quotation or purchasing agreement.
Explore our Become a Reseller page.
15 — Cross-Border Purchases
Taxes, Customs & Import Charges
Applicable taxes and charges depend on transaction type, delivery destination, and tax rules.
For consumer orders, required total-price, tax, delivery-cost, and mandatory-charge information will be provided before contract formation.
Cross-border orders may incur customs duties, import VAT, and related charges depending on fulfillment and destination.
Where these charges are payable by the customer, this must be communicated as required by law.
Wholesale buyers may have additional agreed tax and import arrangements where legally permitted.
16 — Brand Protection
Intellectual Property
The SAPHORIE brand name, original website content, designs, graphics, and other protected materials are owned by or licensed to ATLANTIC GLOBAL NETWORK LLC or their respective rights holders.
Unauthorized reproduction, distribution, or commercial exploitation is prohibited except where permitted by law.
Third-party trademarks and other protected materials remain the property of their respective owners.

18 — Responsibility
Liability
SAPHORIE is responsible for its contractual and statutory obligations under applicable law.
To the extent permitted, we are not liable for losses caused solely by events outside our reasonable control or unlawful misuse of the website.
Nothing excludes or limits liability for fraud, intentional misconduct, mandatory consumer protections, or other liability that cannot lawfully be excluded.
Additional limitations agreed with business customers must comply with applicable law.
19 — Legal Framework
Applicable Law & Dispute Resolution
ATLANTIC GLOBAL NETWORK LLC is registered in New Mexico, United States of America.
Applicable laws and courts depend on contractual arrangements and mandatory legal rules.
Where SAPHORIE directs commercial activities toward EU consumers, EU consumer protection rules may provide mandatory rights and jurisdictional protections.
Nothing deprives consumers of protections that cannot be excluded by contract.
Customers are encouraged to contact info@saphorie.com first to attempt direct resolution.
Information about any legally required complaint or alternative dispute resolution mechanism will be provided where applicable.
